The directors cannot avoid their duties under the corporations act and also the company constitution.
If any share price manipulation has been detected it should be reported to ASIC to protect the directors from prosecution for not acting in the best interests of the company. The directors would have also breached their duty of care and diligence if they do not look into any form of share price manipulation. The share registry provider Computershare would be able to assist in tracking share movements between nominee company brokers. As
@donnybrook says the directors should be requesting nominee holders to provide a list of their clients and share holding using section 672 of the corporations act.
