well done Stu; this is an interesting agreement; let us say Lumos develop some NEW IP; a simple read says Hologic can access that too; so my smart arse 'forever' is indeed 'forever' in reality; I dont read any 'license period' to map to the 'over time' re the revenue

if I were an accountant, I would just plop the $10 mill into the Balance Sheet, and it would never see the profit and loss; in fact, is this any different to a capital raise... with a cap raise, the investor gets shares (no impact on profit and loss - just cash and balance sheet); this reads the same, now, doesnt it: for $10 mill 'cap raise', the investor gets to use the IP forever (just like the cap raise SHARES have rights in the company forever)
