In the last two posts, you have read a lot into an auditor statement that the auditor didn't actually say.
Without citing the JV agreement, I personally would not leap to the conclusion you have expressed.

Depending on the drafting of the agreement, I agree the view you have expressed is a risk.
However, without the context of how disputes are dealt with in the JV agreement, it is not possible to assess how likely the risk you have outline is.
If you have that information, please share it as it enables a more meaningful discussion of the risk.
