They don't need a vote for the SPP, just the conditional tranche of the placement.
Apparently they are doing the SPP under a prospectus, which is extremely weird because SPP shares do not generally count towards Listing Rule 7.1 capacity if the SPP is done in accordance with the Listing Rules.
