God, I hope Im wrong, but my gut is telling me and smells like a Scheme of Arrangement is brewing. I only say and think this as I've been through 2 NXS and recently RAP.
Step1.
Starts behind closed doors with somebody wanting your assets, but they don't want to pay you the investor the price or start a bidding war - so they go straight to management and do a secret deal to buy out the company via a "Scheme of Arrangement" by getting them [personally] what they want Job and $$wise for their yes vote.
Step 2.
and this happened to me twice - crash the share price and raise for no other reason
Step3.
Behind the scenes paperwork is going through ASIC thus nobody [you the investor] is not raising the red flags for them.
THEN
Enter our supposed takeover savior but is only going to pay 50% above our current SP [currently about 13c] and who are going to throw[loan] cash at us. Our board is going to strongly recommend shareholders take the deal.
Step 4 .
Meanwhile investors are thinking and squabbling on HC that we are going to get a better deal either via the savior or somebody else coming in with a better deal "let's call him the white knight [ not gonna happen].
{paperwork still going through ASIC who are running the ruler over the paperwork -Remember ASIC are ASIC who do not know our company and who are interested in only that the paperwork is correct remember my point in step 3 as they only look closer when brought to their attention}
Step5.
Our company gets an independent Auditor to value us [ paid for by our savior] using the 13c he is going to value us at 21c [ I'm using recent RAP result] . Investors are incensed and threaten legal action with money raising and threats of no motions for the vote to accept or deny the Scheme of Arrangement at the company meeting for the vote.
now I will pause in my narrative here to point out with the NO vote the first company I held NXS did vote NO, and they then went into receivership and our savior got them for nothing other than the loan they gave to NXS -----this is whole another story. Investors lost everything [me included I voted NO]
RAP was a YES vote only because no white knight arrived, and long-term Investors just wanted out with something and investors who got in at the 5-13c just doubled up [ I got out after 6yrs at 18c] and now Pfizer now have the tech.
I will now explain to the best of my basic knowledge what "Scheme of Arrangement" is It's a way for a company in receivership to transfer ownership of company to another entity.
You will be thinking "but we are not in receivership, and you would be right but due to the loophole in our ASX and ASIC company structures they can and are now doing it more and more. Again, I hope I'm wrong but I'm worried as that smell is getting stronger.
