    I don't understand why the new company can't have 800m shares or 1.6 billion shares or...any number that is convenient...??

    Free pro-rata shares are free shares. Any partner wanting equity will have to apply for new shares at a fair price.

    It just affects the price of those shares in the market after they are listed.
