I'm unsure how likely it is that Brookfield will enter the bidding war. However, I believe Bain Capital has made a clever move by driving the bidding to $4.30, same as cc partner. As others have suggested, unless a third player joins, rejecting the offer could lead to a significant drop in IOOF's share price as it creates an uncertainty again. I got a feeling rejection is quite likely to happen; if the new offer didn't happen before the rejection, we might see price fall back to $3- $3.50 again. Let's hope something positive happen in the next week or two ...
