Voting power is determined by the number of shares anyone holds. But decisions are made by the board. Most likely Chen neither holds any shares nor is he a board member. But as votes can still be amended online until tomorrow it may influence some holders. But imo that is actually shooting into their own feet - unless, they already know they will survive.
