Yes is my take on both of your questions 1 & 2. Not sure what the Vwap was as per Point 1 below - Was it .53?

I note also, Point 2 which is a great protective clause for new shares to be issued to Apiprx S/H as purchase consideration. Leaving no risk gap to existing IHL S/H after acquisition. After 12 months, piggyback options at $1 is truly tested by then?
