In my view it was our business- well we were entitled to have an opinion.

1. He was pulling in a very substantial income as an Executive Director
2. There was absolutely no mention in the remuneration recommendations that his pay was based on anything other than what might reasonably expect out of an executive - ie a full time commitment. all comparators as justification were FULL TIME
3. I used the Instaskigate data to calculate whether he could possibly have been doing full time. I think the answer is pretty obvious.
4. All directors have an obligation to act in the best interests of shareholders - all shareholders not just a select few. That includes acting in good faith. All directors have that obligation btw. While sometimes what acting in good faith could be debated I think there are other cases where it is pretty obvious.
