I guess it is traded below 32c for a couple of reasons:
1) There is possibility the takeover will not go ahead;
2) If the deal goes ahead, there is a time gap between putting in the money (now) and receipt of the 32c when the deal is complete (it is like a term deposit but with some uncertainty though)
