This makes much more sense now. The offer doesn't read to me as being a good offer that shareholders should consider rather as a threat of what is to come if it isn't accepted. It's written as if they are acting "generous" but rather than trying to convince us of why its a good deal and why we should take it, its written as if we don't take the offer we will be so much worse off.

Now having this context it makes make a load more sense why it is written the way it is.
