When the acquisition was announced the purchase price was about 28% of their mc, sp ~$3.
Now $166.2m is 22% of their mc, sp=$3.83 and it is increasing ebitda by (73-55.8)/55.8 = 30% (at mid point of 70 to 76).
It looks alright to me looking at it this way. I suppose that by using sp it just reflects the market view though.
