Vote yes, so the instos can get a bit more, and the directors can buy their $1.2m. It is good for the company. It's only bad in terms of dilution, but if you're worried about that, then buy some now on market for <$0.50 and vote yes anyway.
I'm assuming the directors have a lot of net worth tied up in MME shares, with far less liquid cash. So even if they have $50m of shares, buying $1.2m will still be a vote of confidence from them. The documents sound like they'll participate for the $1.2m rather than reneg or buy on market. So retailers with cash on hand are at an advantage right now.
