Interesting that they've gone for an earn out. Most companies try and avoid these nowadays as it will create a number of issues for the next two years. Imbio will want to be left alone to make sure they hit their targets meaning it will be harder for 4DX to integrate them successfully. I find it odd that they revenue grew so little from CY22 to CY23 yet CY24 looks like a hockey stick? A >8x revenue multiple in the current market is very high.

Other things that are a bit odd. 200+ clinics yet only $3m in revenue? Is their pricing too low? They will need a lot of clinics at $20k to $50k contracts to reach any material scale. And channel partners like Nuance (I will be surprised if they make 1 sale a year) and aidoc (take 30-40%) mean they lack control overe the end user. Does that mean they have no direct sales force?

Earn outs ensure the vendor is aligned to their purported forecasts... it's a far better option than letting them take the money and run...You've answered your own question RE hockey sticks. if they don't meeet targets they don't get paid...
