From what I can gather, assuming the full $9.5m purchase price is triggered and the VWAP stays at 38.5c per share, it would equate to around a 14.2% incrase in SOI (if no options are exercised) and a 13.5% increase in SOI (if all options are exercised).

Is there something I'm missing, as I feel like this is a good result for us shareholders? I'm typically against anything that dilutes shareholder interests, but can't seem to find a significant downside to this deal.

It is a bloody good result, from memory we are now sitting at 215m SOI fully diluted and from this we have gained a NA foothold, in roads to fostering relationships with some of the biggest players over there and a amazing set of Management to boot. Just google Kurt Mueffelmann.
