I have worked for companies that have paid near 100% dividends, and in other years its 90%. So you may be correct that they will not get $4.2mil, but some years $3.6mil. So it seems we are at odds with our experience.

The directors may pay themselves minimum wage, or they may pay themselves millions.

Fact is we do not know and it will be in the shareholders agreement. IOU purchased a stake in the company through months of due diligence, and I imagine that they did so knowing that they would get access to millions in cashflow each year, and not to have it only put on their balance sheet.

You are also getting confused with profits and capital expenditure. Cash can be set aside through paying down any existing debt, paying for items in advance, etc. which would reduce the ultimate profit (and I am sure this is factored in to this year's predicted $10mil profit). This could occur in advance, and the $10mil profit remain, with money already set aside for risk.
