I think you need 75% of votes and 50% of voting shareholders for it to pass - see takeover laws.. 75% is quite a high percent.. You'd think most holders can see that the share price will tank if it doesn't pass and it's in their interest to accept the offer and move on and invest in something that has better chance of success than this company which has limited prospect of a turnaround in its current state.
