To my understand this is what the case was about, specifically that OCP are NOT selling anything to anyone! They are going to vote in favour of a SCHEME.....subject to higher offer etc.
May sound like a loop hole but that is the whole scheme at the end of the day, its not a sale/takeover but a scheme. Sometimes you love them others you don't.
Clearly GC doesn't like this one!
