I don’t like the issue of shares outright as a performance incentive. It should always be an at the money or out of the money options issue. Then the incentive to advance shareholder interests is real. The rules of the game were set, there was no grey area, management decided what the rules were against many alternatives for incentives. It didn’t pan out as they hoped and now they want to change the game. On principal I disagree with it.
it’s like tossing a coin and losing, then saying ok, well how about best out of three….
