Maybe Non-Executive Directors should just take Directors fees (and Sub-committee fees) from the Remuneration Pool as approved by shareholders and stop using the issuing of ords & ops as a means of garnering themselves outside the approved funding pool for their roles.
Executive Directors get a package for being an executive which may include a provision for their directors duties inline with NE Directors fees. Any performance incentives should be included in their package as set out accordingly with appropriate (and meaningful) thresholds and managed by a Board sub-committee.
Anything else could be considered akin to theft.
