Good question.
I asked this question before as I think it could be covered under the Director's and Officer's Liability Insurance. Most D&O policies indemnifies Directors for losses as a result of legal action. They don't cover international illegal acts. However, most D&O policies are generally confidential. I would love to get my hands on their policy though to have a good read.
Trying to sue SGH who are lawyers and Grech being aware of his obligations would be a very difficult case. Also, if the share price goes up, what exactly is your loss going to be calculated on if you held? By the time the class action starts, SGH share price could be back to where they were before! By the way, there has not been any confirmation of a class action, just lots of noise on litigation funding.
Also, ASIC dropped their case against SGH. That would suggest a confirmation of no wrong doing.
