I think the Corporations law relating to Schemes of Arrangement will require an Investigating Accountants report before shareholders vote on whether to approve the Scheme. The IA should set out financials up to date so that should set out a view on valuation and whether the Scheme is in the best interests of shareholders. Sometimes they say in the absence of a higher offer, the deal is the best shareholders can expect.
