Management are not trying to convince anyone as they have already done the deal. They are not concerned what shareholders think and not looking for their vote this time round.
Those who didn’t vote don’t really care either way, otherwise they would have voted. There are always a certain number of shareholders who do not take an interest in having their say in how the company runs.
