London city made an announcement when the deal was first announced congratulating ECL's directors on the hard work to achieve this sale.
They must have re-read the announcement and see that ECL's directors plan to manage the sales proceeds instead of returning to shareholders.

If shareholders (excluding the directors) had the opportunity to vote on having management invest our funds or to return funds I would be surprised if the result was under 90% for returning to shareholders.

Wouldn't it be great if Leanne Catelan gave shareholders the opportunity to vote without her using her controlling vote.
