If you have the determination / wherewithal to go through it all, IMO everything you need in this space is internal to POS and is contained in its 2023 corporate governance statement, its code of conduct and Board Charter documents.
They wrote or adopted these, signed them off and therefore you would expect they must abide by them and ensure the right optics for the business.
Some sections that may be of interest from the board charter:
8 - Board Chair
13 - Independence of Non Executive Directors
14 - Conflict of Interest
And Generally some of my questions:
How are the optics on externally bench marking remuneration but choosing to fill out the skills matrix yourself? Did the reality of the performance match the self given ratings in the matrix?
How are the optics of the appointments of both CJ and BS without any external bench marking whatsoever to see if another leader was available that could potentially execute the requirements of the company more successfully?
Why were the board supportive of the consistent and continual use of external consultants with regard to remuneration, exploration, and future mining activities but there has been zero mention / evidence of using external expertise when it came to negotiations with MIN / CE or the sale of assets in general?
If they cannot negotiate an extension to the expiration of the prepaid Pro Active slots so they can be used at an opportune time, how can we be certain they negotiated the sale of LJ to the full benefit of its owners?
