My read on the situation:
Directors to Yatomi Clarke: investors are annoyed, we did a dodgy capital raise and you can't even get the price up past 6 cents? Constant delays with you as the CEO are really getting annoying. We want to take our director fees and grant ourselves free options without having to deal with investor complaints.
Yatomi: Alright, I'll try think of some announcements I can get out to the market

Yatomi to Prince: Hey, we really like what you are doing, can I pay you $50k p.a. to pretty much do what you are already doing?
Prince to Yatomi: Yeh if you are that desperate sure. What do I have to do?
Yatomi: Just join a couple of zoom calls each year where we get everyone on the SAB together to pat each other on the back.
Prince: Yeh easy money, done.
