Yatchy / David Willis proxy said FOR to Resolutions 1 [Rem Report] and 2 [Re-elect Graeme Smith]. Then AGAINST to the rest. On #1 they could hardly not accept it as Stern was a Director for that period, plus would have to explain why other than "because!".
I think the issue was if Graeme Smith was removed at AGM it would leave AAR in contravention of the Corporations Act [need 3 directors]. As Stern/Willis decided to run it as a s249D Meeting post AGM [or Jones stymied it - depends on your view] then they needed Smith re-elected for the AGM [note the HUGE votes FOR] then get him out and Willis in on s249D meeting 20 December. Happy for somebody to correct me there.
