It's quite frustrating to see all of these tit-for-tat special letters and emails. The vote must be a lot closer than one would expect.
The issue for me (& apparently the "corporate raiders") is that there is no shareholder advocacy on the Board.
The Board has a lot of biotech experience but there's no oversight from the shareholders which has led to a distinct lack of trust between the shareholder group and the Board.
Logically, if the Board offered a seat to a shareholder with a large vested interest, this may quell the shareholder activism. I would be a lot more comfortable if there was someone on the Board actually looking out for shareholder interests.
I would vote for this arrangement if it eventuated ....
