Cgt discount for 12 months hold on shares doesn't start until converted into shares... so they may want to start that clock ticking... either because they hope or believe imu to be acquired (their shares in a complete takeover for cash) or, they may want to sell some of these converted shares to convert more options in just over 12 months time... again, for cgt discount purposes...
The most common scenario... but, definitely not always.
