constitution amendments are mostly procedural / compliance driven to "incorporate amendments to the Corporations Act and Listing Rules since the current Constitution was adopted on 18 January 2019."
the proportional takeover changed have made it compulsory for shareholders to vote on proportional takeover bids. This protects their strategy of wanting to sell all of the company from a bidder who wants to buy part... Means they can sell the whole show and give all shareholders the same result.
the 10% increase is smart - if they need it they can use it for capital, but also they could deploy it defensively in a non friendly takeover situation.
