1) Normally ASX Co's can issue up to 15% additional shares in the upcoming 12 months without the need for shareholder approval under listing Rule 7.1.
2) At the 4DS 28 November 2024 AGM that cap was increased by 10% to 25% in total for the now current 12 months by shareholder vote.
Clearly they planned to issue TRUCKLOADs of shares and options this year...which they did, and which has already been a catastrophic event massively diluting ordinary shareholders and sending the SP and market cap to the floor (Kudos to our Exec Chairman for that!).
Voting Yes to thes resolutions means that those shares and options issued this year WILL NOT COUNT towards the already increased 25% cap.
It means that ABSOLUTELY these morons intend to issue millions and millions more shares this year without the need to disclose and have a shareholder vote.
...what do they care?, They will be paid a guaranteed Sales Pool Bonus if things work out...happy days for them (and not you).
Do not trust them vote no to all points with the possible exception of Tings options which should, I believe, have a strike price of at least 10 cents if he believes the tech will work.
Make them accountable and answerable to shareholders going forward. Vote NO.
