on second thoughts, we want a functioning board in order to be successful. if we believe in mgmt and the board, then obviously we need to back them. US are quite litigious, so maybe no cheap way out and this is just the cost of getting rid of her. I do struggle with the size of the payout though but doubt we'll get more information publicly to explain it.
if the vote is a no, then she hangs around either not contributing or causing trouble, either way we're not getting a fully functional board focused on success. when is she up for relection? maybe if its a short period, the board can afford to sit it out until she goes.
I suppose I'm in the camp of wanting more information in order to determine a vote.
