Its simples, the votes will carry thru this sale proposal, no other superior offer is forthcoming.

1. Shareholders will get paid $4.895 per share on the 28th July 2022
2. Shareholders will get paid a fully franked divident of 10.5c a share on 4th Aug 2022

There the $5 a share offer

Another option as l understand it :
Scrip consideration (being non-voting shares in the holding company of the acquiring entity) rather than the above cash consideration.
