Please note that just because they may do a deal between the Directors of HUM and LFS does not matter as without shareholder approval it won't fly. Will they get 75% of votes FOR ?
I agree that the exclusive part should have been dropped last night, they should now let others in (if any) as the original announcement said they had multiple interested bidders. Lets see who they are. Why would you lock them out ?
$335m in mostly uninteresting and over valued LFS stock is not that attractive. In my opinion $400m - $420m of mostly cash is what they should be after to start the auction. LFS paid $200m for Symple Loans with $53m of personal loans on board and a modern platform as LFS systems are antiquated and they wanted to get rid of the legacy software and reduce costs. Now they are trying to buy HUM's consumer division cheap and extract even further cost outs. Straight out of the Private Equity handbook.
Time for Management to say what they think HUM is worth, not what someone else wants to buy it for.
Both sets of books will make interesting reading later this month.
