    I'm honestly a bit confused about what it means to have an underwriter involved here.

    Does it mean that whoever holds these 100m options either doesn't have the cash to exercise them (or perhaps don't want to for some reason .. ?) and they're effectively selling them to the underwriters, at slightly under their intrinsic value?
