Nice analysis. Bear in mind that the announcement just summarises the Partnership Agreement and the Partnership Agreement may read slightly differently. I couldn't locate a copy of the original agreement itself.

From my limited experience, commercial litigation isn't particularly exciting or heated. It doesn't necessarily indicate (in and of itself) that the relationship between the two parties has completely broken down (we may well infer that from other goings on of course!). But when both parties obviously disagree over the clauses of the agreement, the court is the appropriate place to resolve those. If SFR actually a valid claim to 4m shares at $1 say, they're perfectly entitled to litigate for them. It's still near on $4m profit at current share price and they have a duty to their shareholders to make a claim for it. Even if it makes them look like dicks.
