Microsoft like LVT because they can transfer risk to LVT who are dependent on MS for its existence.

Net assets of acquisition $10M
LVT went and agreed to pay $38M

now $27M is sitting in balance sheet waiting to chew up on whatever revenue comes in. The rest of the capital requirement needed for expenses such as paying high wages etc etc will of course come from capital raising ....

why would anyone buy this company????
