Sounds like they were hoping no-one would notice that "up to 100%" does not guarante a single sale but does restrict TNG to having it available if THEY (Vimson) want it. Personally, I think that is worse than no agreement at all. With no agreement TNG could at least sell to another buyer if one became available.
