imo a 5 year term is excessive, should have been 12-24 months. Also paying him about 200k/year more than we have to, it's a simple sale that's required not management of a large team for years. 9 month notice period could also lead to an excessive termination payout.
Incentive here is to drag the Dorado monetisation out over a period of 5 years, and rights vest after a 20 day vwap over 30c so no incentive to push the deal over the line in a hurry. History repeating.....? (of snouts in the trough)
