Without digging into his background, I would have thought when you are employed as the managing director you could be reasonably expected to put to use any and all skills at your disposal?
Why the need for this consultancy agreement? I don't see how any of his skill set could be captured under the consultancy agreement that couldn't be captured under his normal employment?
