My reading is it’s a win-win for Guscic. It ensures: (a) if a takeover happens, he will be starting on high salary without negotiation, as new management would not double his pay, and they’re certainly not going to cut it, hence whatever he’s on before takeover is likely to be the minimum. (b) if no takeover, he continues on double previous salary – deserved in my opinion. When I look around and compare WEB’s performance to that of dog companies whose share price has tanked and still pay $1M+ salaries to their CEOs, makes me think Guscic is underpaid.
