Why would anyone sell based on this announcement? As usual people will regret it and pay higher.

Technical due diligence probably won't be completed until after the Aquisition is announced. See 4ce for example
The terms are the only thing left to negotiate and if it wasn't extremely important why wouldn't they just have spoken to Jason on the phone? No they wanted him there in person.
