All working capital is included in the purchase price. The acquisition price would have been based on a notional level of working capital when the deal was struck. Any over/unders are adjusted for based on actual working capital on the day of the handover. This is the $45M adjustment. This could have been, for example, because receivables or inventory were $45M higher on day 1 than the level assumed when the deal was priced. (or payables were $45M lower, or a combination etc.)
