This cute little theory is replicated across boardrooms across the world for thousands of good companies on a daily basis.

My point applies to any spin-offs: if managed properly, any spin-off first approaches VC, PE, or similar investment vehicles. The last resort is heading to the wild ride of the dumb money at a share exchange where all control is lost and the mainly short-sighted share holders only think of quarterly profits, or spend each day enquiring as to how things are going.

Yep, I am out. The large bonuses and loans, mostly involving those running the company, is not something I can stand behind.
