Just to get this right, what is proposed is that C2 Ventures buy a large bunch (to the tune of $3.6m) of shares for 8.0c, correct? If true, what that means is that at today's SP they are loosing a bit of money (on paper; but still more than the bonuses they just paid themselves) on this deal before it is even approved. Tells me to vote yes and definitely not selling any for less than 8c.
