They mentioned the option of "termination by either party" tells me that there is surely a possibility of deal to fall over.
"Encouraging and productive negotiations" tells me that they are still negotiating on something, most probably offer...

So the way i read it as if the negotiated offer price may become the reason for termination...clearly sdl cant negotiate more at current iron ore sentiment and market conditions...offer may be lowered or deal will fall over becasy bidder is in strong position to negotiate and we know that they are playing the hard ball...
