You are correct, misread (or deliberate wishful thinking) that there will be sale to facilitate JKL's reduced beneficial ownership share in the trust.
That said, if they are able garner investor interest for the trust and actually have investors tip real money into the venture, that would give a pretty honest and real-world valuation of JKL's remaining share which the market currently values at zero.
