HC member update

Good morning,

The company understands that not yet trading on the ASX can be a cause of frustration amongst investors. We respect and understand that emotion/sentiment can be stirred up due to the wait for a final relisting date. I have requested permission to post the following to assist members with an update.

Please be aware of the following:
1. The company has completed its regulatory obligations as set out in the Replacement Prospectus. All the various acquisition and partnership agreements and any conditions precedent to these agreements as detailed in the prospectus and public announcements have been finalised and the agreements and partnerships are now in full operation.

2. We are working closely with the ASX as is required in this closing stage of the re-compliance.

3. We have completed the Capital Raising allocation process including all share issues under the Offers and acquisitions.  

4. There is a significant amount of paperwork that is required to be filed with the ASX, including signatures and documents that needed to be finalised with third parties such as escrow agreements and other filings of updated information that has been required to be provided to the company by third parties. The Company did not have control over the timing elements/international commitments that has been required with the provision of information or signing of documentation of third parties.

The company can not push/demand/insist on speeding up the timetable in relation to the processes required by the ASX, but is moving as quickly as possible to have everything finalised to enable the relisting to occur as soon as possible.

Everything is progressing and all the documentation, as required, is being provided to the ASX. There is nothing further that is holding up the process. We are expecting for the ASX to have everything they require finalised in the coming days. Once the ASX has reviewed everything provided, and are satisfied that they have all the information required in the format they require, the ASX will then advise of a listing date.

5. We are endeavouring to provide regular updates including to the members in this forum, to help our shareholders.

6. We are trying to work with Hot Copper to ensure that any potential false or misleading information which may cause unnecessary angst, is clarified.

7. We are providing support to our shareholders to ensure that they are receiving correct information, in line with our Reporting obligations to the ASX,  to assist our investors with their inquiries.

8. The company has significant ongoing operating businesses and the management team continues to work diligently during this period on these core businesses of the Company, particularly as all the reported acquisitions and partnerships pursuant to the prospectus have now been finalised.

9. We have strong relationships with our business partners and the company continues to pursue business opportunities and focus on building revenues as outlined in our announcements.
