You can not legally transfer a % of ownership from one entity to another just due to holding a large % of shares. If that would happen then all SH get a %.
A coy cannot just move assets out of one entity into another specifically when the value is transferred from one set of SH to another. ( i am happy to be corrected here, can they do that?). Unless they have shareholder support I guess, but then all SH must benefit/lose the same.
I think that a debt for equity swap is the easiest way to gain control, if into admin then the assets could go to any bidder who has the money which may defeat those with grand plans.
